Shanghai Youhao Industrial Co., Ltd. (“Youhao,” “we,” “us,” or “our”) operates www.shanghaiyouhao.net and offers narrow webbing products (“Products”). By accessing our website or placing an order, you (“you,” “your,” or “Customer”) agree to these Terms & Conditions.

1. Definitions

  • “Agreement” means these Terms & Conditions, together with any order confirmations, invoices, or additional terms you accept.

  • “Products” means all webbings, straps, ropes, and related accessories sold by Youhao.

  • “Order” means your request to purchase Products via our website, email, or other channels.

2. Acceptance of Terms

  1. All Orders are subject to acceptance by Youhao. We reserve the right to refuse or cancel any Order for any reason, including product availability or suspected fraud.

  2. No binding contract exists until we send you an Order confirmation or ship Products.

3. Orders & Specifications

  1. You agree to provide accurate item codes, dimensions, colors, and quantities when placing an Order.

  2. Custom or made-to-order Products may incur additional fees and extended lead times.

  3. We are not responsible for errors in specifications you submit.

4. Pricing & Payment

  1. Prices are as quoted on our website or in writing, exclusive of shipping, taxes, and duties.

  2. Payment is due in full before shipment unless credit terms have been approved in writing.

  3. We accept bank transfer, credit card, PayPal, or other methods explicitly offered.

  4. Late payments may incur interest at 1.5% per month or the maximum permitted by law.

5. Shipping & Delivery

  1. Delivery terms are FOB Shanghai unless otherwise agreed in writing.

  2. Estimated shipping times are provided for guidance only and are not guaranteed.

  3. Title and risk of loss pass to you upon delivery to the carrier.

  4. You are responsible for import duties, customs clearance, and local taxes.

6. Returns & Refunds

  1. Standard Products may be returned within 30 days of delivery if unused, in original packaging, and accompanied by proof of purchase.

  2. Custom or cut-to-length Products are non-returnable unless defective.

  3. To initiate a return, contact customer service at refund@shanghaiyouhao.net. Approved returns will incur a restocking fee of up to 20%.

  4. Refunds are processed within 14 business days of receipt and inspection.

7. Intellectual Property

  1. All trademarks, trade names, logos, and copyrighted materials displayed on our site remain our property or that of our licensors.

  2. You may not reproduce or use our intellectual property without prior written permission.

8. Warranty & Limitation of Liability

  1. We warrant that Products will conform to published specifications and be free from material defects for 12 months from delivery.

  2. Our sole liability for breach of warranty is, at our option, repair, replacement, or refund of the purchase price.

  3. Except for liability that cannot be excluded by law, in no event shall Youhao be liable for indirect, incidental, consequential, or punitive damages arising from or related to Products or this Agreement.

9. Force Majeure

We shall not be liable for delays or failures in performance due to events beyond our reasonable control, including natural disasters, strikes, pandemics, or transportation disruptions.

10. Governing Law & Dispute Resolution

  1. This Agreement is governed by the laws of the People’s Republic of China, excluding its conflict-of-law principles.

  2. Any dispute arising under or relating to this Agreement shall be finally resolved by arbitration in Shanghai under the rules of the China International Economic and Trade Arbitration Commission (CIETAC).

11. Amendments

We reserve the right to modify these Terms & Conditions at any time. The “Last updated” date at the top will reflect the revision date. Continued use of our site or Products after changes constitutes acceptance.
